By accessing or using the CodeBee Tech Ltd website at codebeetech.co.uk ("Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Site or services.

CodeBee Tech Ltd is a company registered in England and Wales. These Terms govern your use of our website and any digital services we deliver.

CodeBee provides digital product services including but not limited to:

• Web design and development
• SaaS product design and build
• Mobile app development (iOS & Android)
• Marketing, SEO, and digital strategy

Specific deliverables, timelines, and pricing for each engagement are governed by a separate Statement of Work or Project Agreement signed by both parties.

You agree to use this Site only for lawful purposes and in accordance with these Terms. You must not:

• Use the Site in any way that violates applicable local, national, or international law
• Transmit unsolicited commercial communications or spam
• Attempt to gain unauthorised access to any part of our systems
• Reproduce, duplicate, or exploit any part of the Site without express written permission

All content on this Site — including design, copy, graphics, and code — is the intellectual property of CodeBee Tech Ltd unless otherwise stated. You may not reproduce, distribute, or create derivative works without our prior written consent.

Upon full payment for a project, clients receive ownership of the agreed deliverables as specified in the project agreement. CodeBee retains the right to display completed work in its portfolio unless the client requests confidentiality in writing.

Payment schedules are agreed in each project contract. Typically:

• A deposit (typically 30–50%) is required before project commencement
• Milestone payments are made upon delivery of agreed stages
• Final payment is due before the final handover of assets

Late payments may result in work being paused. We reserve the right to charge statutory interest on overdue invoices.

To the fullest extent permitted by law, CodeBee Tech Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or services, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business plans, technical specifications, financial data, and client information. This obligation survives termination of any agreement.

Either party may terminate a project agreement with 14 days' written notice. In the event of client cancellation:

• Any work completed to date will be invoiced at the agreed day rate
• Deposits are non-refundable once work has commenced
• All completed deliverables will be handed over upon receipt of final payment

This Site and its content are provided on an "as is" basis without warranties of any kind, either express or implied. CodeBee does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms at any time. We will notify users of significant changes by updating the "Last updated" date. Continued use of the Site after any changes constitutes your acceptance of the revised Terms.
